Terms of Service
Agreement to Terms
These Terms of Service (the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client" or "You"), and Sergei Kurapov, operating as a Sole Proprietor (Autónomo) ("Seller," "AppVids," "we," "us," or "our"), regarding your access to and use of the AppVids services.
By placing an order, you agree that you have read, understood, and agree to be bound by all of these Terms.
Definitions
"Service": The creation of video content using AI technologies based on a Brief provided by the Client.
"Deliverables": The final video files, scripts, and associated media provided to the Client.
"Brief": The instructions, text, or requirements submitted by the Client to initiate an order.
Description of the Service
AppVids provides a Business-to-Consumer (B2C) service focusing on the creation of video content. The Service operates on a model of one-time packs only; we do not offer subscriptions or auto-renewal services.
Order and Fulfillment Flow
The order process is initiated when the Client submits a request. The fulfillment timeline begins strictly upon the transmission of a "Brief accepted" confirmation email by the Seller to the Client.
Brief Requirements
To ensure the quality and feasibility of the Deliverables:
Language:
All instructions, scripts, and communication must be in English only.
Content Restrictions:
The Client agrees not to submit Briefs containing:
- Adult or pornographic content (Prohibited).
- Medical advice or sensitive health claims (Prohibited).
- Other sensitive categories as determined at the sole discretion of AppVids.
SLA and Delivery Time
Standard SLA:
The Seller commits to delivering the initial draft within 48 hours from the time the "Brief accepted" confirmation email is sent.
Agreed Delays:
Any extension to this timeline must be mutually agreed upon and confirmed via email.
Revisions Policy
The Client is entitled to request revisions to the Deliverables.
Time Window:
Revisions are allowed within 72 hours after the initial delivery.
After this 72-hour window expires, the Deliverables are deemed accepted, and further changes may require a new order.
Delivery, Acceptance, and Storage
Delivery Method:
Deliverables will be sent via digital download link or email.
Video Storage:
The Seller will store the video files for 7 days after delivery. The Client is responsible for downloading and archiving files immediately. After 7 days, files may be deleted from our servers.
Data Retention:
Order data and email correspondence are retained for 6 months for administrative and legal purposes.
Pricing and Payments
Structure:
Prices are for one-time packs.
VAT Status:
The Seller is not a VAT payer under current regulations. Prices listed are final regarding Value Added Tax.
Refunds and SLA Remedies
In the event of a late delivery not previously agreed upon, the following remedies apply based on the duration of the delay:
Less than 24 hours delay:
The Client is entitled to a 50% refund of the specific order value.
24 hours or more delay:
The Client is entitled to a 100% refund of the specific order value.
EU Right of Withdrawal and Waiver
As a consumer in the EU, you normally have a right to withdraw from contracts within 14 days. However, by purchasing customized digital content (video packs) from AppVids, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal once the digital content has been fully produced or the download has started.
Intellectual Property Rights
Client Ownership:
Upon full payment, 100% of the ownership rights to the final Deliverables are transferred to the Client.
Portfolio License:
The Client grants AppVids a non-exclusive license to use the Deliverables for portfolio and testimonial purposes to showcase our work.
AI Usage Disclosure
The Client acknowledges that the Service utilizes Artificial Intelligence (AI) to generate content, including but not limited to scripts, avatars, and voiceovers.
Data Training:
AppVids guarantees that there is no training on client data; your specific inputs are not used to train the AI models for other users.
Prohibited Use
You may not use the Service to generate content that violates applicable laws, constitutes hate speech, promotes violence, or falls under the Restricted Content categories (Adult, Medical) defined in Section 5.
Refusal or Suspension of Service
AppVids reserves the right to refuse service or cancel orders at its discretion if the content requested violates our policies or is deemed inappropriate.
Disclaimers
The Service and Deliverables are provided "as is." While we strive for high quality, we do not guarantee that AI-generated content will be error-free or indistinguishable from human-generated content.
Limitation of Liability
To the fullest extent permitted by law, AppVids shall not be liable for any indirect, consequential, or incidental damages. Our total liability shall be limited to the amount paid by the Client for the specific order.
Indemnification
You agree to indemnify and hold harmless the Seller from any claims arising out of the content of your Briefs or your use of the Deliverables.
Termination
These Terms remain in effect while you use the Service. We may terminate or suspend your rights to use the Service immediately, without prior notice, for any breach of these Terms.
Changes to the Terms
We reserve the right to modify these Terms at any time. Updated versions will be indicated by the "Last Updated" date.
Governing Law and Jurisdiction
These Terms are governed by the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Madrid, Spain.
